1. Agreement

These terms are an agreement between you and [LEGAL ENTITY NAME], a [ENTITY TYPE AND STATE OF FORMATION] ("EasySign", "we", "us"). By creating an account or sending a document through EasySign, you agree to them. If you use EasySign for a business, you agree on behalf of that business and confirm you are authorised to do so; "you" then means the business.

2. The service

EasySign lets you:

  • fill in a ready-made form and send it to a recipient by email for electronic signature;
  • have the recipient confirm a one-time code sent to their email, agree to use electronic records, review the form and sign by typing or drawing;
  • receive the signed PDF and a certificate of completion, both digitally sealed and, when the timestamp service is available, independently timestamped; and
  • let anyone check a sealed file at easysignit.com/verify.

We may change or improve the service. We will not remove a core feature you rely on without reasonable notice.

3. Accounts

  • You must be at least 18 and give accurate information, including the business name you send under.
  • Keep your password secret. You are responsible for activity under your account; tell us promptly at [CONTACT EMAIL] if you suspect unauthorised use.

4. Your responsibilities

  • Lawful use. You will use EasySign only in compliance with applicable law, including consumer-protection, privacy, anti-spam and electronic-signature laws.
  • Right to send. You have a lawful basis to send each document to each recipient and to process their information through EasySign.
  • Choosing e-signature. You decide whether an electronic signature is appropriate for a document. Some documents can't be signed electronically under the federal ESIGN Act or state UETA laws, or need extra formalities. Examples include wills, codicils and testamentary trusts; court orders and official court documents; certain notices of utility shut-off, foreclosure, eviction or insurance cancellation; product-recall notices; and documents that must accompany the transport of hazardous materials. Don't use EasySign for these.
  • Your content. You are responsible for the content of your forms and for what you do with signed records, including meeting any obligations to your signers (such as providing paper copies on request).

5. Acceptable use

You must not:

  • pretend to be another person or business, or send under a business name you are not entitled to use;
  • use EasySign for phishing, fraud, or to collect credentials or payment details under false pretences;
  • send unsolicited bulk messages or documents to people who have no relationship with you;
  • send unlawful, harassing or deceptive content;
  • interfere with, probe or overload the service, bypass rate limits or security measures, or access accounts or documents that aren't yours; or
  • resell or provide the service to others without our written agreement.

6. Signers

Signers don't need an account. When you send a form, you are responsible for your relationship with the signer. EasySign shows the signer an electronic-records consent before the form, sends them a copy of the signed document and certificate, and keeps the signed record as described below. Signers who use EasySign agree to the terms on the signing page for that document.

7. Fees

Pricing and payment terms will be published before paid plans begin. Until then, no fees are charged.

8. Records and retention

Each completed document, its certificate of completion and its audit record are kept for7 years in write-once storage and is locked against change or deletion during that period, including by you and the signer; we override the lock only where the law requires it. After 7 years they are deleted automatically. You are responsible for keeping your own copies if you need them longer. If your account closes, signed records remain locked until their retention period ends.

9. Privacy

Our Privacy Policy explains how we handle personal information. For documents you send, you are responsible to your signers for that information and EasySign processes it on your behalf.

10. Suspension and termination

  • You can stop using EasySign at any time.
  • We may suspend or close accounts that break these terms, put other users or the service at risk, or where required by law. Where reasonable we will tell you first and give you a chance to fix the problem.
  • Sections 4, 5, 8 and 11 to 15 continue after termination.

11. Intellectual property

We own EasySign and its software, design and brand. You keep ownership of your content. You give us permission to store, process and display your content only as needed to provide the service.

12. Disclaimers

EasySign provides tools to create electronic records and signatures. Whether a particular electronic signature or document is valid, enforceable or admissible depends on the law, the document and the circumstances, and we don't guarantee any of those outcomes. We are not a law firm and don't give legal advice. Except as stated in these terms, the service is provided "as is" and "as available", without warranties of any kind, to the extent the law allows.

13. Limitation of liability

To the extent the law allows, EasySign is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim or one hundred US dollars (US$100).

14. Indemnity

You will defend and indemnify EasySign against third-party claims arising from your content, the documents you send, your relationship with your signers, or your breach of these terms or the law.

15. Governing law

These terms are governed by the laws of [GOVERNING LAW STATE], without regard to conflict-of-law rules. Disputes will be heard in the courts located in[VENUE], and you and we consent to their jurisdiction.

16. Changes

We may update these terms. We will post changes here and update the date above; for material changes we will email account holders before they take effect. Continuing to use EasySign after that means you accept the updated terms.
